HighTimes.com, HighTimesInvestor.com, and CannabisCup.com are websites owned and operated by Trans-High Corporation and its affiliates (Collectively hereinafter referred to as “THC”, “we” or “us”). Your privacy is very important to us and in order to best protect your information, we have adopted this privacy policy (“Privacy Policy”), which applies to any and all information you submit to us in connection with your access to and/or use of the Website. It is important to note that this Privacy Policy only applies to information that we collect through HighTimes.com, CannabisCup.com, and related websites that we own and control (collectively, the “Website”), and in the course of your use of our services (“Services”). Therefore, if you click any links on the Website that lead to websites owned or operated by third parties or if you access any other website, including to purchase or view any merchandise or material displayed on the Website, this Privacy Policy no longer applies. You should review the privacy policies adopted by those third parties to ensure that you know what information is being collected and for what it is being used. While registration is not required in order to access the Website, certain features and areas of the Website require you to register, create an account and become a member of the Website (each, a “Member” and collectively, “Members”). Please read this Privacy Policy carefully prior to your registration for, access to, and/or use of the Website and/or service. By submitting information to THC, you are accepting the practices described in this Privacy Policy and the Terms of Use. This Privacy Policy is governed by the Terms of Use, which includes all disclaimers of warranties and limitation of liabilities. What Information We Collect And Why We Collect It

We collect two basic types of information from you in conjunction with your use of the Website and Services – Personal Information and Automatically Collected Information (collectively, “Information”).

Personal information” is any information that can individually identify you and includes, as an illustrative example and without limitation, your name, postal address, email address, telephone number, and any other information (including Cannabis Cup registration information) etc., that can be linked to your identity. We collect no Personal Information about you unless you specifically and knowingly provide it.

“Automatically Collected Information” includes information that does not personally identify you, but may include, as an illustrative example and without limitation, tracking and usage information about your location, use of the Website and the Internet, etc.

Personal Information

There are a number of circumstances in which you voluntarily supply us with your Personal Information. The following lists the most common ways in which we collect your Personal Information:

  • When you send us a request for more information about the products, services, and information listed on the Website;
  • When you send an email to our webmaster, so that we may respond to your message;
  • When you register for Cannabis Cup or similar entries;
  • When you submit employment-related information provided on job applications submitted through the Website or electronically, including for example, job preferences, work history, and other Personal Information;
  • When you participate on social media accounts involving THC;
  • When you submit questions, comments, or feedback through the Website, or otherwise, including responses to survey questions; or

Remember that you always have the option not to provide Personal Information by choosing not to use the Website or our Services or by not using the particular feature of the Website for which the information is being collected.

Automatically Collected Information

Some information is automatically received and sometimes collected from you when you visit or use the Website or Services. The following lists the most common information that is automatically received or collected:

  • The name of the domain and host from which you access the Internet, including the Internet Protocol (IP) address of the device you are using and/or the IP address of your Internet Service Provider (ISP);

  • Websites visited before or after you visit our Website or use our Services;

Cookies

When you interact with the Website and Services, we automatically receive and record information on our server logs from your browser, including your IP address, “cookie” information, and the page you requested. Cookies and other tracking technologies (such as pixels and beacons) are comprised of small bits of data that often include a de-identified or anonymous unique identifier. Websites, apps and other services send this data to your browser when you first request a web page and then store the data on your computer, so the website can access information when you make subsequent requests for pages from that service. Please note that your internet browser may enable you to send a message requesting that the Website not track your usage.  As described, we do use this information in order to determine which pages of the Website you view and which links you click in order to tailor our content and advertising for you.  Therefore, the Website currently does not follow these messages from your browser (but again, you may disable Cookies if you so wish).

Analytics

We, as well as third-party vendors acting on our behalf (such as Google), may use first-party cookies (such as the Google Analytics cookies) and third-party cookies (such as the Google, Yahoo cookies) or other third-party identifiers to gather anonymous analytics and statistics about our Website and Services and how it is are being used by our visitors so we can improve our Website and Services. Our web server storage logs may collect the domain names, internet protocol addresses, the types of web browsers, and certain data of visitors to the Website.

Data about your activities online may be collected for use within THC’s internal organization and in providing advertising tailored to your individual interests, either by us, our affiliates, or third parties. We may work with third parties such as network advertisers and ad exchanges to serve advertisements across the internet and may use third party analytics service providers to evaluate and provide us and/or third parties with information about the use of these ads on third party websites and viewing of ads and of our content.  Such aggregated information  is only shared with third party advertisers on an aggregated and non-personally identifiable basis.

We and these third-party vendors, including Google, may use third-party technologies (such as a Facebook Custom Audience Pixel) together with our own first party technologies in order to analyze ad impressions, your use of ad services, and interactions with these ad impressions and ad services. The information collected may also include information about your visits to our Website, include the pages you have viewed and what content you have seen. These third-party tracking technologies may be set to, among other things: (a) help deliver advertisements to you that you might be interested in; (b) prevent you from seeing the same advertisements too many times; and (c) understand the effectiveness of the advertisements that have been delivered to you.

Social Media Sites

When you interact with THC on or through a social media platform, such as Facebook, Twitter, or Instagram, we collect the Personal Information that you make available to us on that page or account, including your user ID and/or username, and any information you have made public in connection with that social media service. Please note, however, that we will comply with the privacy policies of the corresponding social media platform and we will only collect and store such Personal Information that we are permitted to collect by these social media platforms.

Our Website includes social media widgets, such as Facebook, Twitter, and Instagram widgets. These features collect Automatically Collected Information about your IP address and which page you are visiting on our Website, and they set a cookie to make sure their features function properly. Social media features and widgets are either hosted by a third party or hosted directly on our Website. Your interactions with those features are governed by the privacy policies of the companies that provide them.

Our Use of Information

We use the Information we collect from you and about you to help us personalize and continually improve your experience with the Website and the Services. You have no obligation to provide us with any of your Information, but you may not be able to use or access certain portions of the Website or the Services if you do not provide us with your Personal Information (and you cannot use our Website or Services without agreeing to the terms of this Privacy Policy).

We may contact you by email or other means at an email address that you have provided to us. For example, we may send you account information or promotional offers. If you do not wish to receive this information via email, you may opt out by clicking the “Unsubscribe” link at the bottom of the email. Alternatively, you may send an email to privacy@hightimes.com from the email address you would like removed and include the word “Unsubscribe” in the subject line.

We will store your Information only for the above purposes and will delete your Information from our systems on request.

You agree that THC may use information collected about you to analyze Website usage, improve or customize the services we provide, customize the content, respond to your requests, questions and comments, managing your Member account, facilitate communications between users, and as otherwise set forth in this Privacy Policy or as THC believes necessary to protect its rights and the rights of others, including by enforcing the Terms of Use. You also agree that THC may use your information to contact you. Unless you specifically opt out, you agree that THC may use your information to deliver information to you that is relevant to your use of the Website or Service such as administrative notices, product enhancements or service “newsletters”, or that, in some cases, is targeted to your interests, such as targeted advertisements that THC believes you may be interested in learning more about. By accepting the Terms of Use and this Privacy Policy, you expressly agree to receive this information, unless you specifically opt out in applicable circumstances.

THC maintains a strict “no-spam” policy. If you register for the Website and Service, you may receive newsletters, notices and/or special offers via email or text message, unless you have requested otherwise at the time of registration or as set forth below.

Disclosure of Information

We will only share Information as provided in this Privacy Policy, within our company and corporate affiliates, and with third parties as described below.  We do not sell your Information to any other company, however, you should be aware that THC may use this Information that you supply about yourself for promotional or marketing purposes.

Third-Party Marketing Disclosure

We do not sell, trade, or otherwise transfer to outside parties your Personal Information, unless we provide you with advance notice, or in the circumstances provided below. However, Automatically Collected Information may be provided to other parties for marketing, advertising, or other uses. For example, in addition to informing you about our own products and services, from time to time, we may also share your Personal Information with select marketing partners, such as cannabis firms, and dispensaries who offer products or services that we believe will be of interest to you. Our marketing partners may use this information to contact you directly regarding their own offers of interest. You may choose to opt-out of having your Personal Information shared with these third-party companies by sending an e-mail to privacy@hightimes.com with the phrase “Do Not Share” in the subject line.

Service Providers

We may make your Information available to certain third-party service providers, such as contractors, or vendors, who help us manage or provide services offered on our Websites or Services, such as hosting, analytics, customer service, processing, storing, tracking, billing, and organizing information on our behalf, etc. We may need to share your Information with them but we require that all of our service providers keep Information confidential and not disclose it to third parties and not use it for any other purpose, including direct or indirect marketing purposes.

In particular, we may engage a third party service provider to handle billing for such products or services on our behalf; provided, that if any third party directly handles payment (such as a mobile service provider, application platform, merchandiser, ticket seller or PayPal), the terms of use and privacy policies of any such third party payment provider will prevail. Further, we may use third parties to outsource one or more aspects of our business (such as email or customer service providers, data processing, and security execution and clearing services), in which case, we would have to disclose to such third parties the Personal Information  necessary for such third parties to provide such services.

Mailchimp

THC uses Mailchimp, on online marketing platform, to send and manage email campaigns across channels. Mailchimp processes the Personal Information you provide to us, including your name and email address, we upload our distribution list to the Mailchimp platform. When you interact with an email campaign that you receive from us, Mailchimp may collect Automatically Collected Information about your device and interaction with an email, including usage data. Mailchimp uses cookies and other tracking technologies to collect some of this information. Mailchimp’s use of cookies and other tracking technologies is discussed in more detail in its Cookie Statement.

Emergency Situations

We may also use or disclose your Information if required to do so by law or in the good-faith belief that such action is necessary to (a) conform to applicable law or comply with legal process served on us, the Website or Services; (b) respond to requests from public and government authorities; (c) protect and defend our rights or property, the Website, Services, or our users; or (d) act under emergency circumstances to protect the personal safety of us, our affiliates, agents, the users of the Websites or Services or the public.

Merger, Sale, Or Bankruptcy

In the event that THC is acquired by or merged with a third party entity, or sells all or substantially all of its assets, we reserve the right, in any of these circumstances, to transfer or assign the information and content we have received and collected from our users as part of such merger, acquisition, sale, or other change of control. In the unlikely event of our bankruptcy, insolvency, reorganization, receivership, or assignment for the benefit of creditors, or the application of laws or equitable principles affecting creditors’ rights generally, we may not be able to control how your Information is treated, transferred, or used.

California Disclosures

If you are a California resident and have an established business relationship with us, you can request a notice disclosing the categories of Personal Information we have shared with third parties, if any, for the third parties’ direct marketing purposes, during the preceding calendar year. To request a notice, please submit your request to the contact information provided below. California law also permits residents of California to opt-out of THC’s disclosure of Personal Information to third parties for their direct marketing purposes. You may choose to opt-out of the sharing of your Personal Information with third parties for marketing purposes at any time by submitting a request in writing to the contact information provided below. Please note that this opt-out does not prohibit disclosure made for non-marketing purposes.

How We Store Your Information

Information collected by us may be stored and processed in the United States or any other country in which we or our agents maintain facilities. By using the Website and our services, you consent to any such transfer of information outside of your country, where data protection laws may be different. THC makes no representation or warranty with respect to any duty to permanently store any information you may provide. By using the Website or our services and providing us with information, you waive any claims that may arise under your own or any other local or national laws, rules or regulations or international treaties. We may from time to time transfer or merge your information collected off-line to our online databases or store off-line information in an electronic format. We may also combine information we collect online with information available from other sources, including information received from our advertisers and promotional partners. This Privacy Policy applies to your information for as long as your information is in our possession, even if you terminate or discontinue your use of the Website and our services.

How We Protect Your Information

THC takes a range of security measures designed to protect your Information and keep it confidential (unless it is non-confidential by nature, for example, publicly-available information) and free from any unauthorized alteration. However, the internet by its nature is not a secure environment and the nature of security risks is constantly evolving, as are the technical and organizational industry standards relating to management of those risks. While we strive to keep current our security technology and will review, refine and upgrade our security technology as we deem appropriate based on new tools that may become available in the future, the complete security of any information collected, stored or used by us cannot therefore be guaranteed. We have security standards and procedures in place designed to prevent unauthorized access to your Member account and information. A key part of this process helps ensure that all information we have about you is accurate and up-to-date. In the unlikely event that an unauthorized third party compromises THC’s security measures, THC will not be responsible for any damages directly or indirectly caused by an unauthorized third party’s ability to view, use or disseminate such information. If you ever discover inaccuracies in our data or if your Personal Information, we urge you to notify us immediately.

You hereby acknowledge that THC shall not be responsible or liable for any dissemination of your information that results from your disclosure of such information to any third party.

Payments and Credit Card Security

We may provide paid products and/or services within the Services. In that case, we may use third-party services for payment processing (e.g., payment processors), such as PayPal and Hypur, Inc. We will not store or collect your complete payment card or banking details. Information may be provided directly to our third-party payment processors whose use of your personal information is governed by their respective Privacy Policies.

THC uses WooCommerce Payments (powered by Stripe), a third party payment processor.  When you interact with WooCommerce, it may mean that you provide Information about yourself, including information pertaining to your credit/debit card number and other Personal Information.   For more information on WooCommerce and its security practices, please visit here.  Please note that THC collects credit card information solely to complete a single transaction. THC does not store complete credit card information.

The Website may include links to third party websites, apps or services, including payment providers. Such links are not an endorsement by THC of those websites, apps and/or the products or services they offer. Third parties have different privacy policies, and THC is not responsible for the privacy practices of such third parties. If you click on a link to a third party website, app or service, THC encourages you to check the applicable privacy policy, as it may differ substantially from that of this Privacy Policy. THC makes no representations or warranties nor is THC responsible for the privacy policies of any third party. If you decide to access any third party links appearing on the Website, you do so at your own risk.

Messaging

The Website permits users to communicate with companies and other users posting information on the Website.  We may read, collect and analyze information transmitted between users for regulatory compliance and marketing purposes.  We do not guarantee that information provided by Site visitors or investors is accurate or complete.  THC assumes no liability or responsibility for any errors or omissions in the content of its Website.

Opt-out Policy

We may at times send you e-mail communications with information, marketing or promotional materials.  If you prefer not to receive such e-mails from us, you may unsubscribe completely by contacting us through the contact form www.High Times Holdings.com/contact, chat feature, or by submitting a question through the imbedded “help” button that is processed through Zendesk.

Please note that opt-out requests may take up to seven (7) business days to process.  Please also note that at times we may need to send you e-mail communications that are transactional in nature such as service or termination announcements or payment confirmations which are communications you will not be able to opt-out of.

You will be able to modify the information concerning your account by visiting your profile page and editing any information you wish to change.  You will be able to view and change your e-mail address, password, financial information, contact information, or other login information by visiting your account’s settings page subject to our Site policy.  If you wish to suspend your account or need help modifying account information, please contact us at investor@hightimes.com.  We may require up to seven (7) business days to process such requests.

If you would like us to remove your Personal Information from our database, please send a request via email to investor@hightimes.com.

We are not responsible for removing your  Personal Information  from the lists of any Third Party Services or other third party who has previously been provided your information in accordance with this Privacy Notice.

Children’s Privacy

The privacy of children is of the utmost importance and we are committed to complying with the Children’s Online Privacy Protection Act (COPPA). This Website does not knowingly collect, use, or disclose PII from children under the age of 13. If we ever discover that we have inadvertently collected PII from children under the age of 13, we will delete it as soon as possible. If you are a parent or legal guardian and believe that we have collected PII from your child under the age of 13, please email us at privacy@hightimes.com, and we will take steps to delete this Personal Information as soon as possible.

If you are under 16 years of age and reside in the European Union, you must provide an email address for your parent or legal guardian, and before you can access or use the Website or the Services, THC must receive your parent’s or legal guardian’s express consent. You will not receive access or the ability to use the Website or the Services, and we will not collect additional Personal Information from you, until we receive your parent’s or legal guardian’s consent. Your parent or legal guardian may revoke consent at any time, and THC will take reasonable steps to delete all Personal Information collected from you. THC will also provide your parent or legal guardian with the ability to request to review your Personal Information, prohibit further collection of your Personal Information, and delete, or instruct the deletion of, your Personal Information.

Notice to European Users

If you reside in the European Union, you have certain rights under the European Data Protection Regulation (“GDPR”), including:

  • The right to request access to your Personal Information;

In response to receiving a request for one of the rights set forth above, THC will timely comply with the request within the time periods set forth in the GDPR for each right. Several of the above rights are not absolute and apply only in certain circumstances. THC will comply with requests for those rights as set forth in the GDPR. We are intent on resolving any issues relating to our handling of your Personal Information, and you may contact us at any time regarding any questions or concerns.

We do not make any decisions about you based on automated processing of your Personal Information.

Access to Your Information

We will provide you with access to PII you provide us for as long as we maintain that information in a readily accessible format. We will also work with you to correct any error in your PII. If you wish to access or correct any PII that you have submitted through our Website, or to have us completely remove your PII from our systems, please send an e-mail with your specific request to privacy@hightimes.com.

Changes to This Privacy Notice

We reserve the right, in our sole discretion, to change, modify, add, or remove portions of this Privacy Notice at any time.  Any changes or updates will be effective immediately upon posting to our Website. You should review this Privacy Notice regularly for changes and can determine if changes have been made by checking the Effective Date below. Your continued use of our Website following the posting of any changes to this Privacy Notice means you accept such changes.

Applicable Law and Jurisdiction
